These Terms of Service (“Terms”) govern your access to and use of Genclick (“we,” “us,” or “our”), including our website and any products, software, tools, and services we provide (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1) Eligibility

3) Using the Services
Genclick provides tools that may include (depending on your plan and configuration) features such as membership site management, affiliate program management, email marketing tools, forums/community tools, and related marketing/administration capabilities.
You agree to use the Services only in accordance with these Terms and all applicable laws, rules, and regulations.
4) Your content
“Your Content” means any data, text, images, files, links, communications, or other materials you upload, post, transmit, or otherwise make available through the Services.
- Ownership: You retain ownership of Your Content.
- License to operate: You grant us a limited, worldwide, non-exclusive license to host, store, process, and display Your Content only as needed to provide and support the Services.
- Responsibility: You are responsible for Your Content, including ensuring you have all necessary rights and permissions.
5) Third-party services

6) Billing, subscriptions & refunds
- Authorization: If you purchase a paid plan, you authorize us (and our payment processors) to charge your payment method.
- Auto-renewal: Subscriptions may automatically renew unless canceled before the renewal date.
- Taxes: Taxes may apply depending on your location and applicable law.
7) Acceptable use
You agree not to misuse the Services. For example, you will not:
- Break the law or encourage unlawful activity.
- Send spam, unsolicited marketing, or messages that violate applicable marketing/email laws.
- Upload malicious code, attempt to hack, probe, or disrupt security, or bypass access controls.

8) Intellectual property
The Services, including software, design, logos, trademarks, and all related content (excluding Your Content), are owned by Genclick or its licensors and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
9) Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
10) Limitation of liability
To the fullest extent permitted by law, Genclick and its affiliates, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us for the Services in the 12 months prior to the event giving rise to the claim (or $100 if you have not paid anything), whichever is greater.
11) Indemnification
You agree to indemnify and hold harmless Genclick and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) Your Content, or (c) your violation of these Terms or applicable law.
12) Termination
- By you: You may stop using the Services at any time. If you have a paid subscription, you may need to cancel it according to your plan settings.
- By us: We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created risk, or misused the Services.
- Effect: Upon termination, your right to use the Services stops. Certain provisions (like IP, disclaimers, limitation of liability, and indemnity) will survive.
13) Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we may provide additional notice (for example, by posting an update on our website or within the Services). Continued use of the Services after changes become effective means you accept the updated Terms.
14) Governing law
These Terms are governed by the laws of Toronto, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Toronto, unless applicable law provides otherwise.
